These terms apply to the supply of digital and software services by Vertex Digital Systems Ltd and to use of this website.
1. Scope and project definition
Vertex Digital Systems Ltd provides digital technology and software services including software development, custom scripts, API integrations, automation, data processing, database integration, dashboards, technical consulting, DevSecOps and delivery support, cloud configuration, SEO services, B2B research, and technical documentation.
Each project will be defined by the agreed scope of work, required deliverables, timeline, acceptance criteria, and pricing set out in a proposal, statement of work, or other written agreement.
2. Client responsibilities
Clients are responsible for providing clear project requirements, timely feedback, access to systems, credentials where necessary, content, data, and any approvals needed for implementation. Delays or missing information may affect delivery dates and additional work may be charged.
3. Access and third-party platforms
Where services require access to third-party platforms, APIs, accounts, hosting services, or credentials, the client is responsible for ensuring they have the necessary rights, permissions, and legal authority to grant such access. Vertex is not responsible for outages, restrictions, changes, or limitations imposed by third-party providers.
4. Open-source and third-party software
Project deliverables may include open-source libraries, frameworks, or third-party components where appropriate. Clients should be aware that such software may be subject to separate license terms and obligations.
5. Intellectual property
Unless otherwise agreed in writing, intellectual property rights in the general methods, tools, templates, scripts, and know-how used by Vertex remain with Vertex. Client-provided content, data, branding, and materials remain the property of the client or their respective owners. Custom work developed specifically for a client will be subject to the relevant agreement.
6. Delivery and acceptance
Deliverables are provided in accordance with the agreed specification, scope, and acceptance criteria. Acceptance or approval is typically given by written confirmation following review of the agreed deliverables. Revisions are only included where specifically stated in the project scope.
7. Support and maintenance
Any support or maintenance beyond the agreed scope must be explicitly included in the project agreement. We do not provide open-ended or unlimited support unless specifically contracted.
8. Payment terms
Fees, deposits, milestone payments, and payment schedules are set out in the relevant agreement. Late or unpaid fees may delay or suspend delivery. Any project-specific cancellation or refund terms will be reflected in the contract.
9. Cancellation and refunds
Cancellation requests should be made in writing. If work has already been started, the client remains responsible for any time, services, or resources consumed up to the cancellation date. Refunds will be assessed in line with the relevant contract and applicable statutory rights, where applicable.
10. Confidentiality
Both parties will keep confidential information received from the other party private and will use it only for the stated project purpose, except where disclosure is required by law or professional duty.
11. Data protection
Vertex will process personal data only as needed to provide services, communicate with clients, and comply with legal or contractual obligations. Personal data shall be handled in accordance with applicable data protection laws and the Privacy Policy.
12. Liability
To the extent permitted by law, Vertex shall not be liable for indirect, incidental, consequential, or special damages arising from the use or inability to use our services, except where a court determines that such exclusion is not valid under applicable law. Liability is limited to the fees paid or payable for the specific services giving rise to the claim, unless otherwise agreed in writing.
13. Governing law
These terms are governed by the laws of England and Wales, and any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales, unless a different agreement applies.
